Terms and Conditions of Sale 

 

1. As-Is Sale. All goods sold by TBSC Building Supply LLC, including but not limited to B Grade, surplus, overstock, factory seconds, and reclaimed materials (collectively, the “Goods”), are sold strictly as is, where is, and with all faults, without any representation or warranty of any kind, express or implied. TBSC Building Supply LLC expressly disclaims all warranties, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or condition. 

 

2. No Returns or Exchanges. All sales are final. Buyer acknowledges and agrees that there shall be no returns, refunds, credits, or exchanges for any reason whatsoever. 

 

3. Assumption of Risk. Buyer acknowledges that Buyer has had the opportunity to inspect the Goods prior to purchase or has knowingly and voluntarily waived such inspection. Buyer assumes full responsibility and risk for the use, application, and disposal of the Goods, and releases TBSC Building Supply LLC from any and all claims arising therefrom. 

 

4. Limitation of Liability. In no event shall TBSC Building Supply LLC be liable for any indirect, incidental, special, consequential, or punitive damages of any kind, including but not limited to loss of profits, loss of use, or business interruption, arising out of or related to the sale, handling, or use of the Goods, even if TBSC Building Supply LLC has been advised of the possibility of such damages. TBSC Building Supply LLC’s liability, if any, shall be limited solely to the amount paid by Buyer for the Goods. 

 

5. Acceptance of Terms. By remitting payment for the invoice associated with this transaction and by signing below, Buyer acknowledges that they have read, understood, and agreed to be legally bound by the foregoing Terms and Conditions. Buyer further agrees that these Terms and Conditions constitute the entire agreement between the parties with respect to the subject matter hereof and supersede any prior or contemporaneous agreements, communications, or understandings, whether oral or written.
